# Terms of Service **MOCHA Entertainment Inc.** Effective Date: May 30, 2026 --- ## 1. Agreement to Terms By booking entertainment services with MOCHA Entertainment Inc. ("**MOCHA**," "**we**," "**us**," or "**our**"), scheduling a consultation via Calendly, or communicating with us via email or website, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services. --- ## 2. Services Offered MOCHA Entertainment Inc. provides entertainment services including, but not limited to: - Aerial performances (Lollipop Lyra, Aerial Spiral, etc.) - Cirque acts and acrobatics - Luxury dancers - Champagne service performances - Customized show experiences All services are provided as described in our service offerings and as agreed upon between you and MOCHA during consultation. --- ## 3. Booking Process ### How to Book - Consultations and bookings are scheduled exclusively through Calendly at the link provided on our website - You provide your contact information, event details, and service preferences during the Calendly booking process - A confirmation of your booking will be sent via email ### Booking Confirmation Once a booking is confirmed, you will receive an email confirmation with: - Event date and time - Services booked - Performance details and any special arrangements - Cancellation and rescheduling terms - Any outstanding details or requirements --- ## 4. Payment Terms - **Payment Method:** Payment is processed through Calendly's integrated payment system - **Pricing:** All prices quoted are in Canadian dollars (CAD) and are subject to the rates current at the time of booking - **Deposit:** A deposit or full payment may be required at the time of booking, as indicated during the scheduling process - **Final Payment:** Any remaining balance must be paid in full by the date specified in your booking confirmation - **Accepted Payment Methods:** As provided by Calendly (credit cards, e-transfer, etc.) - **Currency:** All transactions are in Canadian dollars --- ## 5. Cancellation & Rescheduling Policy ### Client Cancellation - **More than 30 days before event:** Full refund of all payments, minus a 15% administrative fee - **15–30 days before event:** 50% refund; 50% of payment is retained by MOCHA - **Less than 15 days before event:** No refund; full payment is retained - **Within 48 hours of event:** No refund; full payment is retained ### Rescheduling - Rescheduling requests must be made at least 14 days before your event - Rescheduling is subject to MOCHA's availability - If you reschedule and then cancel, cancellation fees apply to the new date ### MOCHA Cancellation or Force Majeure In the unlikely event that MOCHA must cancel due to illness, injury, or circumstances beyond our reasonable control (force majeure), we will: - Notify you as soon as possible - Offer a full refund or reschedule at no additional cost - Not be held liable for damages, losses, or costs incurred due to cancellation --- ## 6. Event Requirements & Logistics ### Your Responsibilities - Provide accurate event details, including date, time, location, and guest count - Ensure the venue is safe and suitable for the performance - Provide necessary amenities (e.g., clear performance space, sound system if required, lighting as needed) - Notify MOCHA immediately of any changes to event details - Ensure all required permits or venue approvals are obtained ### MOCHA's Responsibilities - Arrive on time and deliver the agreed-upon performance - Bring all necessary costumes, props, and equipment - Perform professionally and to the highest standard - Maintain professional conduct throughout the event ### Venue & Safety - You are responsible for ensuring the venue meets safety standards for our performance - You must inform MOCHA of any physical limitations, hazards, or special conditions at the venue - MOCHA reserves the right to decline to perform if the venue is unsafe or does not meet performance requirements --- ## 7. Performance Standards & Expectations ### What You Can Expect - Professional, high-energy performances as described in our service offerings - Punctual arrival and setup - Flexibility and responsiveness to reasonable requests during your event - Appropriate behavior and professionalism from all MOCHA performers ### Limitations - MOCHA cannot guarantee specific outcomes (e.g., guest reactions, emotional responses) - Weather or unforeseen circumstances may impact outdoor performances - MOCHA is not responsible for lost or damaged client property during the event - Performance duration and content are as agreed upon in your booking confirmation --- ## 8. Photography & Videography - You may photograph and video record the performance for personal use - You grant MOCHA Entertainment Inc. permission to use photos or video from your event for marketing, portfolio, and promotional purposes (unless you explicitly opt out in writing) - Any professional photography or videography must be pre-approved by MOCHA - MOCHA performers may be photographed or filmed during the performance --- ## 9. Liability & Indemnification ### Limitation of Liability MOCHA Entertainment Inc. is not liable for: - Indirect, incidental, or consequential damages - Loss of profit, revenue, or business opportunity - Guest injuries or property damage (except where caused by MOCHA's negligence) - Failure to perform due to force majeure - Disappointment with the performance or guest reaction ### Indemnification You agree to indemnify and hold MOCHA Entertainment Inc. harmless from any claims, damages, or legal fees arising from: - Your use of MOCHA's services - Your violation of these terms - Claims by your guests or third parties - Your negligence or breach of agreement ### Insurance MOCHA Entertainment Inc. maintains professional liability insurance. Intellectual Property - All MOCHA performance concepts, choreography, costumes, and original designs are the intellectual property of MOCHA Entertainment Inc. - You may not reproduce, adapt, or reuse MOCHA's creative content without written permission - You may not hire our performers to recreate MOCHA's specific performances elsewhere without explicit consent --- ## 11. Confidentiality Both parties agree to maintain confidentiality regarding: - Pricing and negotiated rates (specific to your event) - Event details and client information - Sensitive business information discussed during consultation This does not prevent either party from disclosing information as required by law. --- ## 12. Modifications to Terms MOCHA Entertainment Inc. reserves the right to modify these Terms of Service at any time. Continued use of our booking system or services constitutes acceptance of updated terms. We will post significant changes on our website. --- ## 13. Governing Law & Dispute Resolution ### Jurisdiction These Terms of Service are governed by the laws of Ontario, Canada, without regard to conflict of law principles. ### Dispute Resolution In the event of a dispute: 1. Both parties agree to attempt resolution through good-faith negotiation 2. If unresolved within 14 days, either party may pursue legal action in the courts of Ontario ### No Class Action You agree not to participate in any class action or representative lawsuit against MOCHA. --- ## 14.
